These Terms of Service ("Terms") govern your use of the SalesOrgMapper web application and services (the "Service") operated by SalesOrgMapper ("we," "us," or "our"), a business based in Vancouver, BC, Canada.
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you may not access the Service.
SalesOrgMapper provides a web-based application that allows users to create organizational charts. The Service is accessed through your web browser and requires an active subscription after the free trial period.
2.1 Account Creation: To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.
2.2 Eligibility: You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.
2.3 Account Security: You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.
3.1 Free Trial: We offer a 7-day free trial to new users. After the trial period expires, continued access to the Service requires an active paid subscription.
3.2 Subscription Plans: We offer monthly and annual subscription plans. Pricing and plan details are available on our website and may be updated from time to time.
3.3 Payment: Subscription fees are charged in advance on a recurring basis. You authorize us to charge your payment method for the applicable fees.
3.4 Auto-Renewal: Subscriptions automatically renew for the same period unless cancelled before the renewal date.
4.1 Cancellation: You may cancel your subscription at any time through your account settings or by contacting us at hello@salesorgmapper.com. Cancellation takes effect at the end of your current billing period.
4.2 No Refunds: All subscription fees are non-refundable. Upon cancellation, you will retain access to the Service until the end of your current billing period.
4.3 Account Termination: We reserve the right to suspend or terminate your account immediately if you violate these Terms or engage in prohibited activities.
You agree not to use the Service to:
6.1 Our Rights: The Service, including all software, content, trademarks, and other materials, is owned by SalesOrgMapper and is protected by intellectual property laws. We retain all rights not expressly granted to you.
6.2 Your Content: You retain ownership of any organizational charts, data, or content you create using the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to host, store, and display Your Content solely to provide the Service to you.
6.3 License to Use: We grant you a limited, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms.
7.1 Data Handling: We handle your data in accordance with our Privacy Policy, which is incorporated into these Terms by reference.
7.2 Data Security: While we implement reasonable security measures to protect your data, we cannot guarantee absolute security of information transmitted over the internet.
7.3 Data Backup: You are responsible for maintaining your own backups of Your Content. We are not responsible for any loss of Your Content.
8.1 Service Provision: We strive to provide reliable access to the Service but do not guarantee uninterrupted or error-free operation.
8.2 Maintenance: We may temporarily suspend the Service for maintenance, updates, or other operational reasons. We will provide reasonable notice when possible.
8.3 No Uptime Guarantee: We make no specific commitments regarding Service availability or uptime percentages.
9.1 Disclaimers: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
9.3 Exclusion of Damages: WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify, defend, and hold harmless SalesOrgMapper, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or relating to:
We shall not be liable for any failure or delay in performance under these Terms that is due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or internet service provider failures.
12.1 Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if your claims qualify.
12.2 Arbitration Rules: Arbitration shall be conducted under the rules of the British Columbia Arbitration Act and shall take place in Vancouver, BC, Canada.
12.3 Class Action Waiver: You agree that any arbitration shall be conducted on an individual basis and not as a class action or collective proceeding.
These Terms shall be governed by and construed in accordance with the laws of British Columbia, Canada, without regard to conflict of law principles.
14.1 Right to Modify: We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website or by email.
14.2 Acceptance: Your continued use of the Service after any modifications constitutes acceptance of the revised Terms.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SalesOrgMapper regarding the Service and supersede all prior agreements and understandings.
